Terms of Use — Website

Disclosures

This agreement governs access to and use of the OMeT public website only. Terms governing access to and use of the OMeTrading trading platform are set out in a separate agreement.

1. Definitions

"OMeT-SEF LLC"shall mean “OMet”,  "we," "us," and "our" refer to our affiliates, officers, directors, and employees.

"Site" means the OMeT-Sef LLC  public website and any content, features, or functionality made available through it.

"Information" means any content, data, or materials provided on or through the Site.

"You" refers to any individual or entity accessing the Site for any reason.

2. Acceptance of Terms

By accessing or using the Site, you agree to be bound by this Terms of Use agreement ("Agreement"). If you do not accept these terms, you must stop using the Site immediately.

OMeTrading reserves the right to modify this Agreement at any time and in its sole discretion. Continued use of the Site following any modification constitutes acceptance of the revised terms. You are responsible for reviewing this Agreement periodically.

3. Permitted Use and Licence

OMeT  grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site and Information solely for your internal business purposes. This licence does not extend to any commercial redistribution, resale, or derivative use of the Information.

You may not:

  • Extract or scrape Information from the Site by any automated or manual means
  • Use the Information to develop or operate any pricing, benchmarking, valuation, or index service
  • Use the Information in connection with any trading application, liquidity pool, or execution venue not operated by OMeTrading
  • Redistribute, retransmit, resell, or otherwise make the Information available to any third party
  • Use the Site or Information for any unlawful purpose or in any manner that could damage, disable, or impair the Site or the rights of OMeTrading or any third party
  • Introduce malicious code, conduct denial-of-service attacks, or attempt unauthorized access to any part of the Site or its underlying infrastructure

4. Intellectual Property

All content on the Site, including Information, trademarks, service marks, logos, and underlying technology, is the property of OMeT or its respective licensors and is protected under applicable intellectual property law. You acquire no ownership, title, or interest of any kind in or to any Site content by virtue of accessing it. All rights not expressly granted herein are reserved.

5. No Investment Advice or Solicitation

Nothing on the Site constitutes investment, legal, tax, or accounting advice, nor an offer, recommendation, or solicitation to buy or sell any security, swap, or other financial instrument. Information on the Site is provided for informational and demonstration purposes only and should not form the basis of any investment or trading decision. Many financial products involve significant risk; you should obtain independent professional advice before entering into any transaction.

6. Disclaimer of Warranties

The Site and all Information are provided "as is" and "as available" without representation or warranty of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. OMeTrading does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

7. Limitation of Liability

To the fullest extent permitted by applicable law, OMeT shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of, inability to use, or reliance on the Site or any Information contained therein, regardless of the theory of liability and whether or not OM-eTrading has been advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Site or its content is to discontinue use.

8. Indemnification

You agree to indemnify and hold harmless OM-eTrading and its affiliates, officers, directors, and employees from and against any claim, loss, damage, or expense, including reasonable legal fees, arising from your breach of this Agreement or your use of the Site.

9. Confidentiality

You agree to keep confidential any non-public or proprietary information made available to you in connection with the Site, including any access credentials, and not to disclose such information to any third party without OM-eTrading's prior written consent. You agree to notify OM-eTrading immediately upon becoming aware of any unauthorized use or disclosure of such information.

10. Account Information

Where access to any feature of the Site requires registration or credentials, you are responsible for maintaining the confidentiality and security of your account information. You must ensure that all registration information provided is accurate and current. OM-eTrading reserves the right to disable any account or credentials at any time and in its sole discretion.

11. Jurisdictional Issues

OM-eTrading makes no representation that the Site or any Information contained therein is appropriate or available for use in any particular jurisdiction. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with all applicable local laws.

12. Third-Party Links

The Site may contain links to third-party websites provided as a convenience only. OM-eTrading does not endorse, control, or assume responsibility for the content, accuracy, or availability of any third-party site. Access to linked sites is at your own risk. You may not link to the Site without OM-eTrading's prior written consent.

13. Suspension and Termination

OMeT reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason including suspected breach of this Agreement or for legal or regulatory reasons. Termination does not affect any rights or obligations that have accrued prior to the date of termination.

14. Audit

You have the right to audit your trading activity during regular business hours upon 30-day prior written notice surviving termination of your account for 12 months. 

15. Participant Data

[Legal: FLAG — HIGH PRIORITY. The source document includes a broad perpetual, royalty-free, transferable, worldwide license granted by participants to TP ICAP over all transaction data, pricing, and volume information submitted through the platform. Given OM-eTrading's status as a CFTC-registered SEF (pending) and obligations under Parts 43 and 45 of CFTC regulations governing real-time public reporting and swap data repository reporting, this provision requires careful independent drafting. Do not adapt the TP ICAP language without regulatory review. Confirm permissible scope of data use, anonymization obligations, and any restrictions on commercialization of participant transaction data under applicable CFTC rules.]

16. Privacy

OMeT's collection and use of personal information in connection with the Site is governed by OMeT’s Privacy Notice, incorporated herein by reference.

17. Governing Law

Any disputes arising from these terms shall be brought in arbitration in the City and State of New York. 

18. General

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force. OMeT's failure to enforce any provision shall not constitute a waiver of that provision or any other right. This Agreement may not be assigned by you without OMeT's prior written consent. This Agreement, together with any of OMeT’s  policies are incorporated by reference, and constitutes the entire agreement between you and OMeT with respect to the subject matter hereof and supersedes all prior agreements and understandings.
